Terms and Conditions

INTRODUCTION

The following terms and conditions (hereafter “Terms & Conditions”) are valid between you and the French company PowerZ SAS, reg. no. 885261602, (hereinafter referred to as “PowerZ”, “us” and “we”). The Terms & Conditions apply to your installation and use of the game PowerZ, referred to as the “Game” which is a multiplayer online role-playing game based in a virtual world.

To play the Game, you have to create an account (hereinafter “Account” or “My Account”) with which you can create and use 5 profiles (hereinafter, “Player Profile” or “Player Profiles”).

In the Game you may purchase, with "real world" money, a limited, personal, non-transferable, non-sublicensable, revocable right to use virtual currency, including but not limited to gems, all for use in the Game referred to as "Virtual Currency". You also have to subscribe to our membership program referred to as “Membership” to play and access the Game. You are only allowed to purchase Virtual Currency or to subscribe to the Membership from us or our authorized partners, and not in any other way.

The Membership allows you:
• To play and to access the game
• to have access to an additional application (referred to as “PowerZ Companion” or “app PowerZ Companion”) available on iPhone, iPad and Android mobile phones and tablets, allowing to monitor players’ progression among other benefits.
• to benefit from a fixed monthly amount of Virtual Currency.

The Terms & Conditions also apply to any services provided to you by PowerZ and related to the Game, for example, but not limited to, PowerZ website, mobile apps, social media accounts and the app PowerZ Companion (referred to as “Services”). The website https://powerz.tech will, from now on, be referred to simply as the “Website”. You can play the Game on PC, Mac, iPhone, iPad and Android mobile phones and tablets, thereafter referred to as “Platforms”.

We kindly advise anyone who is younger than 15 years old, to get a parent or legal guardian to read and accept these Terms & Conditions on their behalf. It is also important that you get consent from a parent or legal guardian before you create an Account in the Game, install or use the Game. If you are under the age of 18, you must obtain the consent from your parent or legal guardian to purchase any item in our Game. By accepting these Terms & Conditions, you confirm that you are 15 years or older, or that you have permission from your parent or legal guardian to install and use the Game. You also confirm that you are 18 years old or older, or that you have the consent from your parent or legal guardian to subscribe to a Membership and to make any other purchase in the Game, if applicable.

Copyright in the Game and its content, and any content of the Services, or any documents or content provided on the Website, including, without limitation, the trademarks of PowerZ, any patents, graphics, text, photos, designs, logos, icons, images, data and software (together referred to as “PowerZ Property”), are owned by or licensed to PowerZ.

Please read these Terms & Conditions carefully before installing and using the Game, subscribing to a Membership, or making any additional purchases of Virtual Currency.

PowerZ reserves the right to revise the Terms & Conditions at any time. The date of the latest update is found in the final section of the Terms & Conditions. Users are responsible for keeping themselves updated with these changes. With the exception of spelling errors, PowerZ will notify players and parents of any changes to the Terms & Conditions.

ARTICLE 1 - REGISTER FOR AN ACCOUNT

To gain access and start playing the Game, users are required to create an Account by entering their email address and a password. An Account can create up to 5 Player Profiles. You accept not to use your personal information, such as your first name and your surname, to create your username.

Here, you agree not to share your username and password (the “Login Information”) that you have chosen, or your Account details. You also accept sole responsibility for maintaining the confidentiality of your Login Information and for the use of your Account. If, at any point, you suspect that you have become a victim of a security breach, loss, theft or unauthorized access to this information, please contact our customer support team: finance@powerz.tech.

ARTICLE 2 - REQUIREMENTS FOR INSTALLING THE GAME SOFTWARE

The Game is available for download on the App Store and Google Play Store as well as on our Website. Once you have downloaded the Game on your phone or tablet or downloaded the file PowerZ Setup+4.x.x.exe on your computer, you will be able to create an Account and then play. A stable internet connection is required to play the Game.

ARTICLE 3 - THE GAME

3.1 PLAYING THE GAME

Once you have created an Account, the Game can be playedif you purchase a subscription, but at any time you can purchase Virtual Currency and/or subscribe to the Membership.

3.2 MEMBERSHIP AND VIRTUAL CURRENCY

• A Membership and Virtual Currency can be purchased in the Game on the respective Platforms used after logging into your PowerZ Account.
• For a Membership, you must choose one of the valid and accepted payment methods that we offer. Currently, PowerZ offers payment via debit/credit card, Google Pay and Apple Pay. We will then bill the monthly Membership fee to your payment method. Please see further details under article 6 below.
• Virtual Currency can also be bought in the Game with one of the valid and accepted payment methods that we offer. Currently, PowerZ offers payment via debit/credit card, Google Pay and Apple Pay. Purchases of Virtual Currency are non-refundable and non-exchangeable. Please see further details under article 6 below.

3.3 FREE TRIALS AND PROMOTIONS

• From time to time, we may offer trials of the Membership for a specified period without payment or at a reduced price. PowerZ reserves the right to determine who is eligible for a trial, and to withdraw or to modify a trial at any time without prior notice and with no liability. Free trials and promotional trials are for new members with registered Accounts only.
• In some instances, we will require you to provide your payment details before we start the trial. At the end of these trials (free or promotional trials), we will automatically start charging for the full-fee Membership. This happens on the first day following the end of the trial and continues on a recurring monthly basis. By providing your payment details in conjunction with the trial, you agree to this charge. If you do not wish to continue your Membership and do not want to be charged at the end of the trial and you paid with you credit/debit card, you will need to change your PowerZ “My Account” settings or contact our customer support before the trial period is up. If you subscribed to the Membership through the App Store and do not wish to be charged at the end of your trial period, you will need to unsubscribe in the “Subscriptions” section of your Apple ID in your device’s “Settings”, at least a day before the trial period is up. If you subscribed to the Membership through Google Play Store and do not wish to be charged at the end of your trial period, you will need to unsubscribe in the “Subscriptions” section of the Google Play Store.
• We will start charging you the full fee directly after the trial period unless you have changed your “My Account” settings in the Game if the payment was made on a credit/ debit card or in the settings of your App Store or Google Play Store respectively. You will receive a notification from us that your free or promotional trial period has ended or that the full-fee paying portion of your Membership has begun. Please refer to section 7 of the Terms & Conditions for more information on how to cancel your subscription. Log in to your “My Account” page in the Game or visit our Q&A page on our Website (our Q&A) to find cancellation instructions. We will continue to charge your payment method on a monthly basis for your Membership fee until you cancel.

ARTICLE 4 - COMMENCEMENT OF MEMBERSHIP AGREEMENT AND NO RIGHT OF WITHDRAWAL

Your agreement with PowerZ regarding your Membership, which provides you access to the game, the PowerZ Companion app as well as several benefits in the Game, is concluded upon your first payment and PowerZ’s confirmation notice to you. The benefits of the subscription, and the decision to modify them, are at our sole and absolute discretion. In the event of modification of the Membership benefits, you will receive an email informing you of these changes. You hereby agree that the benefits attached to the subscription (and any Services, if applicable) will be immediately available to you for download and use upon such payment and confirmation notice, and you hereby waive your right to withdrawal under the article L.221-28 of the Consumer Code (Code de la Consommation). Please note that this does not affect your right to cancel your Membership detailed in article 7 below.

ARTICLE 5 - PRICES

Prices for a Membership or for Virtual Currency may vary by nation and/or currency. The prices applicable to your Membership or Virtual Currency appear on version applicable to your country of residence. The prices shown in the Game include VAT or any equivalent applicable local sales taxes.

We may reserve the right to adjust the subscription fee for the Membership, any other prices related to Virtual Currency or any component related to the Game, at our own and sole discretion.
Regarding the Membership, PowerZ shall, however, notify you by email of any price changes at least one month in advance. Please note that you are entitled to cancel your subscription at any time, in accordance with the section 7 of these Terms and Condition. Price changes will not apply to the current subscription period that you have already paid.

Please note that additional charges may be applicable depending on the payment method that you choose. Please see further for details regarding any additional charges related to your payment method.

ARTICLE 6 - PAYMENTS

6.1 PAYMENTS FOR ONGOING MEMBERSHIP AND OTHER PURCHASES OF VIRTUAL CURRENCY

• By starting your Membership and designating a preferred payment method, you authorize us to charge you a monthly Membership fee at the then current rate.
• The Membership fee will be billed right after the free or promotional trial period of your Membership and each subsequent month thereafter unless and until you cancel your Membership. We will automatically bill you via the payment method you have chosen on the calendar day that your paid Membership starts. In the event that your full price paid Membership began on a day not contained in any given month, we may bill your payment method on another day in the month or another day we deem appropriate. For example, if you became a paying or full price paying member on January 31, your next payment date is likely to be February 28, so your payment method would be billed on that date.
• While some Membership benefits are fully earned upon receipt of payment, others may have to be claimed on a weekly basis. We reserve the right to change the timing of our billing, in particular, as indicate below, if your payment attempt was not successful. As long as a valid subscription is still active, we also reserve the right to retry payment authorization. This may affect your renewal date for your particular renewal period. We may authorize your payment method in anticipation of Membership or service-related charges. As used in these Terms & Conditions, “billing” indicates a charge, debit or other payment clearance, as applicable, against your payment method.
• For one-off purchases, you can choose the payment method among the valid and accepted payment methods that we offer (see section 3.2). If you already have a payment method saved on your Account from previous purchases, this method will automatically be chosen unless you request otherwise. You can modify, at any time, your payment method on your Account’s settings on “My Account”. Please refer to our Q&A for more information on how to modify your payment method, depending on your platform (our Q&A).

6.2 REFUND POLICY

Payments are non-refundable and there are no credits or refunds given for partially used periods. Following any cancellation of subscription, however, you will continue to have access to the Membership benefits through to the end of your current billing period. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members (“Credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The receipt of credits in one instance does not entitle the user to credits in the future for similar occurrences, nor does it oblige us to provide credits under any other circumstances in the future.

ARTICLE 7 - YOUR CANCELLATION FOR YOUR MEMBERSHIP

You may cancel your Membership at any time, and you will continue to have access to the Membership benefits through to the end of your monthly billing period. We do not provide refunds or credits for any partial-month Membership periods.

If you cancel your Membership, it will take effect the day after the last day of the current billing period, you will lost access to the app PowerZ Companion and to the other benefits of the Membership. You will be able to access the app PowerZ Companion and other Membership benefits until the end of your billing period. By viewing your “My Account” page, you can find out when your Membership will end.

If you paid through debit/credit card, you will be able in “My Account”, accessible in the launcher, to stop the Membership at least a day before the monthly payment date of your subscription. If you paid through the App Store, you can cancel your Membership in the “Subscriptions” section of your Apple ID in the “Settings” of your iPhone or iPad at least a day before the monthly payment date of your subscription. If you paid through Google Play Store, you can stop your Membership in “Subscription” on Google Play Store at least a day before the monthly payment date of your subscription. ARTICLE 8 - CHARGEBACKS & REVERSALS

We operate a transparent and straightforward procedure for customers who may wish to dispute a transaction on their PowerZ Account. Our customer support team at: finance@powerz.tech will provide any assistance necessary to customers, upon request. We do not encourage, however, chargebacks or reversals where the customer’s card issuer forcibly reclaims money from a previously completed transaction. Therefore, PowerZ reserves the right to block access to -or close completely- any Account where such claims have been put into effect.

ARTICLE 9 - TERMINATION BY POWERZ

• PowerZ is entitled to terminate your Membership and/or your Account immediately if you are in breach of these Terms & Conditions.
• PowerZ also reserves the right to terminate your Membership and/or your Account with immediate effect due to other reasons than stated above.

ARTICLE 10 - YOUR LICENSE TO USE THE GAME/ SERVICES

Subject to your continuing compliance with the Terms & Conditions, you are granted a limited license to use the Game solely for your own non-commercial entertainment purposes by accessing it with authorized, unmodified PowerZ software. You may not use the Game for other purpose, or in connection with any other software.

As part of this license, you agree that you will not, under any circumstances:

1- Use cheats or any other unauthorized third-party software designed to modify the Services.

2- Use the Game, or any aspect of the Game for commercial purpose, including, but not limited to:
• use at location-based site without the express written consent of PowerZ.
• for offering Virtual Currency.
• for selling paid Membership outside the Game or any official PowerZ channel.
• for performing in-game services in exchange for payment outside the Game, including but not limited to, completing quests and/or chores, levelling-up characters or chimeras.

3- Modify or cause to be modified any files that are part of the Game in any way.

4- Violate any applicable law or regulation in connection with your use of the Game.

5- Redistribute, sell or otherwise copy any product(s) and/or service(s) offered by PowerZ.

6- Modify, translate or otherwise create derivative works based on PowerZ.

7- Alter, or attempt to alter, decompile, reverse engineer, disassemble or otherwise reduce PowerZ to a human readable form, except to the extent applicable laws specifically prohibit such restriction.

8- Remove any identification, copyright or other proprietary notices.

9- Create any software, product or service.

Without limiting the forgoing, copying or reproduction of the content or software to any other server or location for further reproduction or redistribution is expressly prohibited. You acknowledge that PowerZ is not intended for use in connection with any high risk or strict liability activity and PowerZ makes no warranty and shall have no liability in connection with the use of the Game or a service provided by PowerZ in any such situations.

Users hold full responsibility (including copyrights) for any and all content posted, uploaded, submitted or in any way added to the Game or the Website. Parents or legal guardians assume full and automatic responsibility for the conduct of users under the age of 15.

ARTICLE 11 - PROHIBITED CONTENT AND ACTIVITY

11.1 GENERAL

• You agree to use our Game and Website only for lawful purposes, and in a way that does not infringe the rights of, restrict or inhibit anyone else’s use and enjoyment of the Game and the Website.
• The following lists are not exhaustive, and PowerZ reserves the right to take action against offensive or inappropriate behavior not mentioned in this agreement, including but by no means limited to suspension, restriction or permanent denial of access to your Account, with any such decision being final, with no obligation of correspondence being entered into.

11.2 OBSCENE AND/OR VULGAR LANGUAGE

Users shall not:
• use offensive or inappropriate words.
• make use of offensive usernames.
• use logos/pictures/text plates with abusive or vulgar language.

11.3 SEXUALLY EXPLICIT AND/OR DATING RELATED CONTENT

Users shall not add, display, upload or discuss sexually related content (text, images or videos) for example nudity, sexually explicit content, pornography, etc.

11.4 DISRUPTION

Users shall not:
• attempt to disconnect another user or otherwise disrupt another player’s online experience abuse the report tools by submitting false or misleading reports of inappropriate activity by another user.
• mislead other users into giving out personal information or anything PowerZ may consider to be contrary to the ‘essence’ or ‘spirit’ of the Game.

11.5 HARASSMENT, THREATENING BEHAVIOR AND VIOLENCE

Users shall not:
• bully, intimidate or threaten another player.
• refer to extreme and/or violent real-life actions.
• instigate or sustain rumors about a player or PowerZ employee.
• improperly utilize the functions of the Game to intentionally upset or distress another player (such as the creation of a username to harass another user).
• add, upload or display distressing images intended to harass another player.
• insult other characters, players, PowerZ employees, or groups of people in-game and externally.

11.6 REAL-LIFE INFORMATION

Users shall not:
• distribute or ask for full name, address, phone numbers, locations, meeting/hangout places.
• request any personal detail that may take the PowerZ experience from being virtual to being personal.
• distribute another player's, or a PowerZ employee's real-life information (name, address, phone number, social networking profiles etc.).
• distribute or attempt to obtain information that can be used to locate another user or his/her family, friends or a PowerZ employee.

Please note: PowerZ will not tolerate real-life threats or distribution of personal information.

11.7 HATE SPEECH

Users shall not:
• promote racial, ethnic, or national hatred.
• use a racial, ethnic, or national slur
• refer to symbols of racial, ethnic, or national hatred.
• insult or negatively portray someone based on their sexual orientation.
• negatively portray major religions or religious figures.
• insult or negatively portray someone based on their religious orientation.
• otherwise display any form of discriminatory, bullying, partial, prejudicial or intolerant behavior towards another player based on their religion, race, sexuality, gender, beliefs, likes, dislikes, social status, age, or other distinguishing factor(s).

11.8 ILLEGAL ACTIVITY/ TERMS & CONDITIONS VIOLATION

Users shall not:
• exploit any in-game bugs or glitches, thereby granting you and/or any other user an advantage over other players not using such methods.
• promote the use of drugs.
• upload, display or direct any other user toward content promoting illegal activity.
• disclose or share any kind of confidential PowerZ information that they are somehow privy.
• sell or trade Accounts, or encourage the sale or trade of Accounts.
• impersonate a PowerZ employee.
• advertise or promote commercial products/services.

11.9 FRAUDULENT BEHAVIOR

Users shall not:
• engage in ‘phishing’ (asking for passwords or Login Information)
• engage in the use of any form of keylogging software.
• offer Membership or Virtual Currency or other features and/or in-game benefits.
• engage in any kind of real life fraudulent behavior, including without limitation credit card fraud, SMS fraud, telephone fraud, fraud involving the accumulation of Virtual Currency or Membership benefits.
• impersonate another person, player, character or PowerZ employee
• engage in the use of any form of third-party software (including ‘CheatEngine’) to fraudulently obtain more Virtual Currency.
• It is forbidden to resell Virtual Currency purchased in the Game. We only provide you a right to use the Gems and not a right of ownership, which you expressly acknowledge. Thus, you acknowledge that the Virtual Currency has no financial value in the real world and does not constitute money or property of any kind. The Virtual Currency can only be converted into Virtual Goods. It is therefore strictly forbidden to exchange it for real money or for goods and services other than Virtual Goods. You may not transfer, sell or otherwise trade (or attempt to do so) any rights to use Credits outside of the Websites, the Game and their rules. We may remove Virtual Currency obtained outside of the approved services from your Account at any time without prior notice.

ARTICLE 12 - CONSENT TO MONITOR

We take online safety seriously and encourage you to always use caution when giving out any personally identifying information about yourself or your children. We strive to keep our Game and Services safe and will take the necessary actions for keeping it that way. If we find any violation against the rules stipulated in section 12, we will take action against the users in question, and depending on the severity of the offence, or in the worst case, permanently ban their Accounts.

ARTICLE 13 - YOUR GRANT OF LICENSE TO POWERZ

You (and your parents or legal guardian if you are under the age of 15) confirm that by uploading or otherwise submitting any materials, or typing texts, within the Game or on the Website or any related websites (including but not limited to the official social media channels and pages under PowerZ’s management such as our operations on Facebook, Instagram, Twitter and Snapchat), you automatically grant (or warrant that the owner of such rights has expressly granted) PowerZ a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, commercialize and distribute such materials or incorporate such materials into any form, medium or technology (now known or hereafter developed or devised) throughout the universe.

The copyright in the Game and its content, and any content in the Services, or any material or content provided on the Website, i.e., the PowerZ Property, is owned or licensed by PowerZ. The PowerZ Property also includes user generated content in the Game or Services (hereinafter, "User Generated Content" or "UGC"). Except as permitted by these Terms & Conditions or other PowerZ terms, the user may not use any of the PowerZ Property or content from the Services unless the user obtains separate permission from PowerZ. PowerZ reserves all rights on the PowerZ Property not granted in these Terms & Conditions. Some mini games also allow for the independent creation of UGC within the Game by users. Such users who separately create UGC within the Game hereby grant PowerZ a worldwide, perpetual, royalty-free, irrevocable, enforceable right and non-exclusive license to use and exploit such UGC in any manner or media without any obligation, including the obligation to pay royalties or other compensation to any person or party.

ARTICLE 14 - WARRANTY AND LIABILITY

The provisions under this Section 14 applies to the fullest extent permissible in agreement with applicable law. Please note that the law applicable in your country may provide you with certain statutory rights that cannot be excluded by this Section 14.

The Game and Services (including without limitation to any and all content) is provided “as is” and without any warranties of any kind, either express or implied, or statutory.

PowerZ disclaims all warranties, statutory, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

PowerZ does not warrant that it will meet your requirements, that your access or operation of the Game or Services or any content accessible through PowerZ will be uninterrupted or error-free, that defects will be corrected, or that the Website (or any server that makes content available) are free of viruses or other harmful components.

The Services provided by PowerZ does not in any way include, cover or guarantee your end-to-end connection. Third-party factors such as the wiring between your telephone exchange and your home, your home set-up and individual network performance can also affect your overall reliability of gameplay.

PowerZ does not warrant or make any presentations regarding the use or the result of the use of PowerZ in terms of its correctness, accuracy, reliability, or otherwise, or that use of the Services will not adversely affect you or any other person’s use of the Platform(s) on which PowerZ is installed on or accessed from.

PowerZ may not under any circumstances be held responsible for plug-ins from third-parties necessary for users to view or access any content or service offered by PowerZ (including, but not limited to, shockwave, flash and others) and cannot be held responsible for problems with the plug-ins under any circumstances.

No oral or written information or advice given by PowerZ and its moderators and/or employees shall under any circumstances create warranty of any kind. Applicable law may not allow the exclusion of express or implied warranties.

In no event shall PowerZ be held liable for any damages resulting from the use of, or inability to use, the Game or Services, except in case of proven negligence. In no event shall PowerZ be held liable for any indirect or consequential damages resulting from the use of, or inability to use, the Game and Services, except in case of proven gross negligence.

ARTICLE 15 - FORCE MAJEURE

PowerZ shall not be liable for any delay or failure to perform resulting from causes outside of PowerZ’s reasonable control, such as war, civil war, revolution, riot, governmental measures, strike, lockout, blockage, failure of electricity, telephone or internet service, natural disasters or similar events. In case of Force Majeure, PowerZ’ obligations will be suspended. The contract between you and PowerZ can, in such cases, be partially or fully terminated by yourself or by PowerZ.

ARTICLE 16 - COPYRIGHT

Copyright in the Game and its content, and any content of the Services, or any documents or content provided on the Website, including, without limitation, the trademarks of PowerZ, any patents, graphics, text, photos, designs, logos, icons, images, data and software, are owned by or licensed to PowerZ.

You are not allowed to reproduce, publish, distribute, sell, license, decompile, disassemble, reverse engineer, modify, translate or adapt the PowerZ Property in any way, except for the limited license granted to you by PowerZ as stated below.

PowerZ hereby grants you a limited, reversible and non-exclusive license to use the PowerZ Property when you publish material created by you (“Your Material”), for strictly non-commercial purposes, on Youtube or a similar third- party platform, provided that your use of the PowerZ Property within your material,
• is not the main feature of Your Material, meaning that your own contribution to Your Material must be significant in relation to your use of the PowerZ property,
• does not give the impression that you or Your Material is endorsed or approved by PowerZ,
• is not unlawful, deceptive, obscene, harmful or disparaging,
• is not harmful or damaging to the goodwill of PowerZ,
• is otherwise compliant with these Terms & Conditions, especially Sections 10.

If your use of PowerZ Property, in PowerZ’s opinion, is in violation of this Section 15, then you are obliged to immediately remove Your material from all public media on PowerZ’s request.

ARTICLE 17 - TRADEMARKS

PowerZ trademarks include, but are not limited to, the PowerZ name and logo. Please note that your use of the Game or Services does not grant you any rights to use our trademarks, except for as otherwise expressly stated in these Terms & Conditions.

ARTICLE 18 - MARKETING

If you consent to receive PowerZ emails when you register on our Website or Game, we will use the email address you provided to send you relevant offers and information.

We do not sell, rent, or lease your email address to third-parties, and we will not provide your personal information to any third-party individual or company at any time unless compelled to do so by law.

We will use your email address solely to provide relevant information about products and services available from PowerZ.

ARTICLE 19 - CONTESTS AND PROMOTIONS

PowerZ may arrange contests and promotions operated by PowerZ or a third-party. Separate Terms & Conditions will apply to such contests and promotions.

ARTICLE 20 - PRIVACY POLICY

ARTICLE 21 - SECURITY

PowerZ use Secure Socket Layers (SSL), the industry standard in transferring information to process your purchases. PowerZ secures communications by encrypting all data to and from the Website.

ARTICLE 22 - INFORMATION ON THE GAME AND WEBSITE

PowerZ cannot guarantee that the content of the Website is free of inaccuracies or typographical errors. Neither can we guarantee that all information is up-to-date. Please also note that you can also file possible claims against PowerZ before the DGCCRF (Direction générale de la consommation, de la concurrence et de la répression des fraudes). In the event of dispute, you can also call upon a consumer mediator for an amicable resolution of the dispute. The consumer mediator will act as a third party to resolve any dispute between the consumer and PowerZ.
